01Agreement to these terms

These Terms of Service (“Terms”) are a contract between you, the merchant (“you,” “your”), and RefillKit (“RefillKit,” “we,” “us”). They govern your installation and use of the RefillKit application and this website.

By installing RefillKit, clicking to accept, or using the service, you agree to these Terms. If you are accepting on behalf of a company, you confirm you are authorized to bind it. If you do not agree, do not install or use RefillKit.

02The service

RefillKit is a subscription and replenishment app for Shopify. It lets you attach subscribe & save plans to products, schedules recurring billing through Shopify, retries failed payments (dunning), provides a self-service customer portal, reports on subscription metrics, and can migrate subscriptions from other apps.

We may add, change, or remove features over time. We will not make changes that materially reduce core functionality without reasonable notice where practical.

03Eligibility & accounts

To use RefillKit you must:

• Operate an active Shopify store in good standing.
• Be able to form a binding contract and not be barred from doing so under applicable law.
• Provide accurate account information and keep it current.

You are responsible for activity that occurs through your store’s installation and for the staff you allow to access RefillKit.

04Connecting your Shopify store

Installing RefillKit grants it the Shopify API access scopes shown during installation, including the protected subscription and customer-payment scopes the app needs to operate. You authorize RefillKit to read and write the relevant data on your store to deliver the service — for example, to create selling plans, mirror subscription contracts, and create billing attempts.

Shopify is the source of truth for contracts and orders; RefillKit maintains a synchronized mirror plus the additional data the features require. Your use of Shopify remains governed by your agreement with Shopify.

05Fees, billing & free trial

RefillKit is billed through Shopify and appears on your regular Shopify invoice. Plans are:

• Every plan includes a 14-day free trial; we do not charge during the trial.
• Recurring fees are charged in advance; usage fees are charged based on subscription revenue processed through your store during the period.
• Charges are handled by Shopify’s billing system. Approving the app charge in Shopify authorizes these fees.
• Fees are exclusive of taxes; you are responsible for any taxes that apply to you. Prices are in USD unless stated otherwise.
• We may change pricing with reasonable notice; changes apply to the next billing cycle and never retroactively.

If your merchant subscription with us becomes past due, RefillKit may enter a read-only mode. Even then, your customers’ active subscriptions keep billing and your customers keep access to their portal — we will not stop your revenue to collect ours.

06Your responsibilities

As the merchant and the controller of your customers’ data, you agree to:

• Comply with all laws that apply to selling subscriptions, including consumer-protection, auto-renewal, marketing, and privacy laws in the regions you sell to.
• Present clear subscription terms to your customers at checkout (price, frequency, how to cancel) and honor them.
• Configure dunning, save-offers, and emails responsibly and truthfully, and keep your product and pricing data accurate.
• Maintain your own privacy policy and obtain any consents your customers’ data requires.
• Keep your Shopify account secure and your contact details current.

07Acceptable use

You agree not to:

• Use RefillKit to charge customers without valid authorization or clear terms.
• Break the law, infringe rights, or send unlawful or deceptive communications.
• Probe, scrape, overload, or interfere with the service or its security.
• Reverse engineer, resell, or sublicense the service except as the law allows.
• Misuse another store’s data or attempt to access data that is not yours.

We may suspend access to protect customers, the service, or our other users.

08Money handling & accuracy

RefillKit instructs Shopify to create billing attempts on the schedule and rules you configure. Shopify and its payment providers perform the actual charges. We design for idempotent, auditable billing — every attempt is keyed so a replay cannot double-charge — but you are responsible for the plans, prices, and rules you set up.

You should monitor your billing and reconcile against your Shopify admin. If you believe a charge is wrong, contact us promptly so we can investigate.

09Intellectual property

RefillKit, including its software, design, and content, is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service while these Terms are in effect. You keep all rights to your own data, brand, and content; you grant us the limited rights needed to operate the service for you.

10Data protection

Our handling of personal data is described in our Privacy Policy, and our processing of your customers’ data on your behalf is governed by our Data Processing Agreement, which forms part of these Terms. You are the controller of your customers’ data and RefillKit is your processor.

11Third-party services

RefillKit depends on Shopify and on service providers for hosting, email, and monitoring. Those services have their own terms, and we are not responsible for their acts or outages beyond our reasonable control. Your relationship with Shopify is governed by your agreement with Shopify.

12Disclaimers

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that every payment will be recoverable.

13Limitation of liability

To the fullest extent permitted by law, RefillKit will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of or relating to the service is limited to the amount you paid us for RefillKit in the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14Indemnification

You agree to indemnify and hold RefillKit harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your products and subscription terms, your customers’ data, or your breach of these Terms or of applicable law.

15Term & termination

These Terms apply while RefillKit is installed on your store. You may stop using the service at any time by uninstalling it from your Shopify admin. We may suspend or terminate access if you breach these Terms, fail to pay, or use the service in a way that risks harm.

On uninstall, Shopify notifies us and we delete your store’s data as described in our Privacy Policy and Data Processing Agreement. Sections that by their nature should survive termination (such as fees owed, IP, disclaimers, liability, and indemnity) will survive.

16Changes to the service or terms

We may update these Terms as the product or the law changes. We will update the “last updated” date and, for material changes, give notice in the app or by email. Your continued use after an update means you accept the revised Terms.

17Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which RefillKit is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over disputes, unless mandatory local law gives you other rights. We encourage you to contact us first; most issues are resolved quickly without formal process.
